PLEASE READ THESE REWARD PROGRAM TERMS AND CONDITIONS (THE “TERMS”) CAREFULLY. THESE TERMS MAY HAVE CHANGED SINCE YOU LAST READ THEM. THESE TERMS GOVERN YOUR AND YOUR COMPANY’S PARTICIPATION IN THE ANDE.AI REWARDS PROGRAM (THE “PROGRAM”) WHICH IS OPERATED AND ADMINISTERED BY ANDE.AI, INC. (“ANDE”). THESE TERMS ARE SUPPLEMENTAL TERMS TO, AND INCORPORATE, ANDE’S TERMS OF SERVICE AVAILABLE HERE AT HTTPS://ANDE.AI/TERMS (THE “TERMS OF USE”). BY PARTICIPATING IN THE PROGRAM, YOU, ON BEHALF OF YOURSELF AND THE ENTITY YOU REPRESENT, REPRESENT (1) YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS AND (2) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS ON BEHALF OF THE COMPANY YOU REPRESENT, AND TO BIND SUCH COMPANY TO THESE TERMS. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MAY NOT PARTICIPATE IN THE PROGRAM. “YOU” MEANS YOU AS AN INDIVIDUAL AND/OR THE COMPANY YOU REPRESENT, AS APPLICABLE. ANY CAPITALIZED TERMS USED HEREIN BUT UNDEFINED WILL HAVE THE MEANING GIVEN TO THEM IN THE TERMS OF USE.
Except as otherwise expressly prohibited or limited by applicable laws, Ande reserves the right in its sole discretion to change, limit, or modify the Program and/or these Terms, with or without notice, even though such changes may affect the value of Points (as defined below). Unless otherwise expressly provided, any changes or modifications will be effective immediately upon posting the revisions to https://ande.ai/rewards-program-terms. You waive any right you may have to receive specific notice of such changes or modifications.
Ande may terminate the Program, in whole or in part, at any time, with or without notice, which may result in loss and cancellation of accumulated Points and other benefits and privileges associated with the Program. In the event of such termination, all Points will be forfeited and void.
Ande reserves the right to suspend or terminate your ability to participate in the Program at any time for any reason. For example, Ande reserve the right to review and investigate all referral activities, and to suspend accounts, modify referrals, or remove or terminate your ability to use Points in our sole discretion if we notice any activity that we believe is abusive, fraudulent, in violation of the Ande Terms of Service or these Terms, or otherwise as we deem fair and appropriate. Ande also reserves the right to terminate your participation in the Program if you have not participated in the Program for a period of one (1) year. “Participation” means earning Points. In the event your participation is terminated, all Points will be forfeited and void.
The Program is open to employees of registered users of the Ande services. There are no membership fees associated with your participation in the Program.
Generally. Ande allows employees of current subscribers, whether Enterprises or Venues (such employees, for purposes of these Terms, “Users”) to receive promotional rewards in the form of points for creating Bookings events on the Ande platform (as defined in Ande’s Terms of Use at https://ande.ai/terms) (“Points”).
By Enterprises. To earn Points in connection with an Enterprise, Users must complete a Booking with a Venue on the Ande platform involving a large-group dining experience with a food and beverage minimum and contract, and pay the corresponding fees for such Booking (a “Qualified Booking”). Users will earn Points for each Qualified Booking made by the User on behalf of the applicable Enterprise. The Points that may be earned in connection with any Qualified Booking will be shown in the user interface of the Ande platform prior to the completion of the Booking.
By Venues. To earn Points in connection with a Venue, Users must complete a Qualified Booking (as defined above) with an Enterprise on the Ande platform. Users will earn Points for each Qualified Booking made by the User on behalf of the applicable Venue. The Points that may be earned in connection with any Qualified Booking will be shown in the user interface of the Ande platform prior to the completion of the Booking.
Limitations. Ande reserves the right to retroactively remove Points from a User’s account in the event of any returns, cancellations, or chargebacks. Points have no cash, monetary or other value prior to being redeemed pursuant to a valid redemption request in accordance with these Terms. Points may only be redeemed towards Prepaid Cards (as defined below) and may not be used against, applied to or redeemed with respect to any invoices, services, bookings, subscriptions, credits or discounts on or via Ande’s platform or other products or services.
Promotional Offers. From time to time, Ande may offer additional opportunities for you to earn Points. Such Points shall be awarded as described in such terms included in the Ande offer, as well as the terms herein.
Points may be redeemed (a “Payout”) in the form of a non-reloadable, digital, open-loop device branded with the logo of a payments network (e.g. Visa or Mastercard), usable at multiple unaffiliated retailers (“Prepaid Card”). Each Prepaid Card is offered and managed by a third party, such as a bank, and is subject to additional terms and conditions posted or presented by such third party. The administration of the payout of Prepaid Cards is managed by Tremendous LLC (“Tremendous”) on behalf of Ande. You acknowledge and agree that the only way to redeem Points through the Program is in the form of a Prepaid Card as described herein.
Payouts, generally. You are solely responsible for providing Tremendous with accurate and complete contact information to be able to receive each Payout.
Transmission Errors. If Ande or Tremendous receives notice of non-delivery of a Payout (e.g., email bounce-back), Ande will notify you and allow you the opportunity to revise your contact information. If you become aware of an error in your contact information or other Payout distribution issue, Ande will provide reasonable assistance in attempting to correct the error or such other distribution issue upon notice from you. For the avoidance of doubt, neither Ande nor Tremendous is responsible for any loss resulting from your provision of incorrect or inaccurate contact or disbursement information.
Payout Links. Ande may enable you to receive a unique identifier enabling you to accept a Payout in the form of a Prepaid Card (a “Payout Link”) from Tremendous. Each Payout Link can only be sent once, to a single recipient. Once a Payout Link is generated and sent to you, per your request, all risk of loss related to such Payout Link passes to you.
Order and Payout Limits. No individual Payout may have a value of more than one thousand dollars ($1,000). Tremendous may impose or modify Payout order limits at any time in its sole discretion.
Ande does not sell or issue Prepaid Cards. Prepaid Cards are subject to separate and additional terms and conditions, which will be applicable to you upon the delivery of the Prepaid Card. Ande will determine the appropriate Prepaid Card to provide to you. Prepaid Cards are available in digital form only and are delivered to you electronically via email at an email address specified by the Recipient at the time of redemption. You will not be able to request or obtain a physical prepaid card as part of this Program.
Points earned under the Program are promotional in nature and have no cash value. Points are not assignable or transferable and cannot be redeemed for cash or any cash equivalent except as required by law. You are solely responsible for all federal, state, local, or other applicable taxes associated with your acceptance and use of the Points.
All transactions on Ande’s platform will be subject to Ande’s Terms of Service, which are incorporated herein by reference. Additional terms and conditions may apply and will be disclosed prior to using your Points to make a Purchase.
Ande reserves the right, in its sole discretion, to revoke or void any Points which it deems, in its sole discretion, to be procured in violation of these Terms.
All decisions regarding your Points will be final and at Ande’s sole discretion.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANDE DISCLAIMS ALL GUARANTEES AND/OR WARRANTIES, EXPRESSED OR IMPLIED WITH RESPECT TO THE PROGRAM, POINTS, DISCOUNTS, AND PURCHASES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.
To the fullest extent permitted by applicable law, Ande, its affiliates, marketing agencies, and any other party involved in the administration of the program, including such parties’ officers, directors, employees and agents (collectively, the “Ande Parties”) do not assume any liability or responsibility for, and by entering the Program you hereby waive and release the Ande Parties from, any actions, claims, damages, losses or injuries of any kind (collectively “Claims”) arising in connection with the Program and/or the receipt, use or misuse of any Points, including without limitation, Claims relating to: (i) the malfunction of any computer, telephone, mobile device, network, satellite, hardware, software or communications line; (ii) unauthorized human intervention; (iii) incorrect, delayed or inaccurate transmission, notifications regarding Points, Point claims or other information or communications relating to the Program, or the failure to capture or transmit any such information; (iv) damage to any person’s computer or mobile device; or (v) any errors in these Terms or other announcements or communications relating to the Program.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms shall be governed by, and construed in accordance with, the laws of the State of Delaware, without giving effect to any choice of law or conflict of law rules. Any action arising out of or relating to these Terms or your participation in the Program must be commenced in the state or federal courts located in the State of Delaware, and you consent to the jurisdiction of those courts. Ande’s failure to enforce any term or condition of these Terms shall not constitute a waiver of that or any other provision. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.
Any personally identifiable information collected during your participation in the Program will be collected and used by Ande and its designees for the administration and fulfillment of the Program and as otherwise described in these Terms and Ande’s privacy policy available at https://ande.ai/privacy.
