Ande.ai Incentives Program

Please read these terms and conditions (the “Program Terms”) carefully before enrolling and participating in the Ande.ai Incentives Program (the “Program”). The Program Terms are part of and subject to the Ande Terms of Service, https://ande.ai/terms (the “Terms of Service”), and such Terms of Service are incorporated herein by reference. Any capitalized terms used but not defined herein shall have the meaning ascribed to it in the Terms of Service. Your participation in the Program is at all times governed by the Program Terms. IF YOU DO NOT AGREE TO ALL OF THESE PROGRAM TERMS, DO NOT ENROLL OR PARTICIPATE IN THE PROGRAM.
1. GENERAL.
- The Program is offered by and at the sole discretion of Ande.ai, Inc., a Delaware corporation (“Ande,” “we,” “our,” or “us”).
- The Program is deemed to be included in the definition of “Ande Services” as that term is used in the Terms of Service.
- In the event there is a direct conflict or inconsistency between these Program Terms and the Terms of Service, these Program Terms will prevail, govern, and control with respect to any aspect of the Program.
- The Program Terms do not otherwise alter the terms or conditions of any other agreement you may have with Ande for other products and/or services, or the terms or conditions of any other promotional offers or programs conducted by Ande outside of the context of the Program.
- Information collected in connection with the Program is governed by the Ande Privacy Policy, https://ande.ai/privacy (the “Privacy Policy”). Please read the Privacy Policy carefully to understand how Ande collects, uses, and discloses information about you, how to update or change your personal information, and/or the ways Ande communicates with you.
2. ELIGIBILITY.
- You shall only be eligible to participate in the Program if you:
- Are 18 years of age or older;
- Are an authorized user of a Subscriber with an active and valid enterprise subscription to use the Ande Platform (a “Subscription”);
- Have an account on the Ande Platform registered in connection with a Subscription (an “Account”);
- Do not already have an Account under a different Subscriber;
- Have not previously been terminated from the Program by Ande; and
- Possess the legal authority to agree to the Program Terms.
3. ENROLLMENT.
- If you are eligible to participate in the Program, you may enroll in the Program in your Account by following the applicable prompts on the Ande Platform.
- You are solely responsible for maintaining the accuracy of the information on your Account and updating it as required.
- You may only have one Account enrolled in the Program, and any additional Accounts in your name or otherwise controlled by you are prohibited from enrolling in the Program.
- If, at any time, you are no longer eligible to participate in the Program, you will immediately and automatically be unenrolled from the Program.
4. POINTS AND PROGRAM TIERS.

Once enrolled in the Program, you will earn points for each Complete Reservation (each, a “Point,” and collectively, the “Points”), and each Review you submit, subject to the terms of these Program Terms.

For purposes of these Program Terms, a “Review” shall mean feedback submitted by a user with a valid Ande account, in response to a prompt to review a venue following a Completed Reservation made via the Ande Platform.

For purposes of these Program Terms, “Complete Reservation” shall mean when a reservation made by you under your Account on the Ande Platform has taken place and the check for such reservation is closed out.

During each calendar month that you are enrolled in the Program, you will earn Points for Complete Reservations. You will earn 50 Points for each Large Group
Complete Reservation, 10 Points for each general Complete Reservation, and 1 Point for each Review you submit.

For purposes of these Program Terms, “Large Group” shall mean any reservation that involves booking a private room, buyout, or adhering to a minimum spend via the Ande Platform.

You will not earn any Points for any canceled, incomplete, no-show, or pending reservations, or any reservations not booked directly by you on your Account through the Ande Platform.

The Program has the following tiers, based on the number of Points earned in a calendar month (each, a “Program Tier,” and collectively, the “Program Tiers”):

Once you have earned the maximum number of Points in a Program Tier, you will move up to the immediately following Program Tier once you earn your next Point(s). Once you have earned the maximum number of Points in the Level 3 Tier, you will immediately restart at 0 Points in the Level 1 Tier.

At the end of each calendar month, you will restart with the minimum number of Points of the Program Tier you qualified for on the last day of the immediately preceding calendar month. By way of example, if, on January 31, you have earned 350 Points (and are in the Level 3 Tier), on February 1, you will remain in the Level 3 Tier, and your total number of Points will reset to 201 Points.
5. REDEEMING REWARDS.

Points may be redeemed for digital gift cards (each, a “Reward”) issued by certain third-party restaurants selected by Ande at our sole discretion (each, a “Restaurant”), and will be based on different Program Tiers. Ande reserves the right to change, add, or remove any Restaurant from its Reward list.

Once you earn the maximum number of Points in a Program Tier, you will earn a Reward as follows:

There is no limit on the number of Rewards you can earn in a calendar month.

Once you earn the maximum number of Points in a Program Tier, you can redeem your applicable Reward by following the “Claim Reward” prompt and instructions in your Account, subject to these Program Terms. You are not required to redeem any earned Reward.

Upon redemption of a Reward, Ande will purchase the applicable Reward for you within a reasonable time (as determined by Ande in Ande’s sole discretion), and the applicable Restaurant will email you the Reward at the email address provided by you in your Account. Ande is not responsible or liable in any way for your failure to receive the Reward from the Restaurant or your use of the Reward at the Restaurant. Further, Ande is not responsible for any communications, including receipt of a Reward, not received by you due to any incomplete, incorrect, or change of your contact information.

You understand and acknowledge that by redeeming the Reward, you consent to us sharing your full name and email address with the applicable Restaurant for the purposes of Ande purchasing the Reward and the Restaurant delivering that Reward to you.

You understand and acknowledge that the Rewards, once redeemed, are also subject to the applicable Restaurant’s terms and conditions (the “Restaurant Terms”).

All redemptions of Rewards are final. Rewards cannot be exchanged or returned for Points.

Except to the extent required by applicable law, Points are only redeemable for the Reward and are not redeemable for cash or any other value or benefit.

The resale or transfer of Points and Rewards is strictly prohibited.
6. EXPIRATION OF REWARD.
- Any Reward you earn but do not redeem will expire twelve (12) months from the date and time such Reward was earned. Any Reward not redeemed after the expiration date will be forfeited.
- Further, you will immediately forfeit all accumulated and unredeemed Rewards if: (a) your Account is voluntarily or involuntarily terminated; (b) you are no longer enrolled or eligible to participate in the Program; (c) Ande terminates the Program; (d) you breach the Program Terms; or (e) your participation in the Program is otherwise terminated.
7. TERMINATION AND MODIFICATION.
- The Program is offered at the sole discretion of Ande. Ande may, in its sole discretion, cancel, modify, restrict, or terminate these Program Terms and/or the Program or any aspect or feature of the Program at any time without prior notice, even though such changes may affect the Rewards, Program Tiers, or Points already accumulated or earned and/or the ability to redeem Rewards.
- Ande reserves the right to exclude you from or to discontinue your participation in the Program and to audit your Account at any time, in Ande’s sole discretion. Any suspected abuse of the Program, failure to follow any Program Terms, illegal activity, fraud, manipulation, misrepresentation, or other conduct inconsistent with these Program Terms and/or detrimental to Ande or Ande’s interests, including without limitation, any suspected illegal, fraudulent, or other unauthorized use of any Rewards or Points, may result in your unenrollment from the Program and make you ineligible for further participation in the Program. If Ande suspects illegal activity, fraud, manipulation, misrepresentation, abuse, or violation of the Program Terms, Ande also reserves the right to seek damages or other remedies to the fullest extent permitted by law, in Ande’s sole discretion.
- If we change or modify the Program Terms, we will revise the “Last Updated” date located at the top of these Program Terms. If you continue to participate in the Program in any way after a change to these Program Terms, you will be deemed to have read, understood, and unconditionally consented and agreed to such changes; therefore, you should review these Program Terms and applicable policies carefully to understand the terms and conditions that apply to the Program and your participation in the Program.
- If, after enrolling, you decide you no longer want to participate in the Program, you may unenroll at any time by logging into your Account and opting out.
- Once you are voluntarily or involuntarily unenrolled from the Program, you will be ineligible to earn Points or redeem any Rewards.
8. DISCLAIMER OF WARRANTIES.
- NEITHER ANDE NOR OUR PARENTS, SUBSIDIARIES, AFFILIATES, PARTNERS, LICENSORS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS (COLLECTIVELY, AND INCLUDING ANDE, THE “ANDE PARTIES,” AND EACH, A “ANDE PARTY”) MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PROGRAM TERMS OR THE PROGRAM OR ANY OF THE REWARDS INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE, EXCEPT TO THE EXTENT SUCH REPRESENTATIONS AND WARRANTIES ARE NOT LEGALLY EXCLUDABLE.
9. LIMITATION OF LIABILITY.
- YOU AGREE THAT NO ANDE PARTY WILL BE RESPONSIBLE NOR LIABLE IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE) FOR ANY: (A) INTERRUPTION OF BUSINESS; (B) ACCESS DELAYS OR ACCESS INTERRUPTIONS TO THE PROGRAM; (C) DATA NON-DELIVERY, LOSS, THEFT, MISDELIVERY, CORRUPTION, DESTRUCTION OR OTHER MODIFICATION; (D) LOSS OR DAMAGES OF ANY SORT INCURRED AS A RESULT OF DEALINGS WITH OR THE PRESENCE OF THIRD PARTY LINKS ON THE ANDE PLATFORM OR USE OF ANY REWARD; (E) COMPUTER VIRUSES, SYSTEM FAILURES OR MALFUNCTIONS WHICH MAY OCCUR IN CONNECTION WITH YOUR USE OF THE ANDE PLATFORM, INCLUDING USING ANY HYPERLINK TO OR FROM THIRD PARTY WEBSITES; (F) ANY INACCURACIES OR OMISSIONS IN ANY CONTENT OF THE PROGRAM; (G) ANY EVENTS BEYOND OUR REASONABLE CONTROL; (H) ANY LOSS OR MISDIRECTION OF, OR DELAY IN RECEIVING, YOUR REDEMPTION REQUESTS OR REWARDS; (I) THE RESTAURANT TERMS; (J) THEFT OR UNAUTHORIZED REDEMPTION OF POINTS OR REWARDS OR USE OF A REWARD; OR (K) ANY ACTS OR OMISSIONS OF THIRD PARTIES (INCLUDING, WITHOUT LIMITATION, ANY RESTAURANT). WE MAKE NO REPRESENTATIONS OR WARRANTIES THAT DEFECTS OR ERRORS WILL BE CORRECTED.
- FURTHER, NO ANDE PARTY WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) RELATED TO THE PROGRAM OR YOUR PARTICIPATION THEREIN, WHETHER IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND IN NO EVENT SHALL OUR MAXIMUM AGGREGATE LIABILITY FOR SUCH CLAIMS EXCEED ONE HUNDRED DOLLARS ($100.00).
- YOU AGREE THAT NO CLAIMS OR ACTION IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE) ARISING OUT OF, OR RELATED TO, YOUR PARTICIPATION IN THE PROGRAM, USE OF ANY REWARDS OR THE PROGRAM TERMS MAY BE BROUGHT BY YOU MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION RELATING TO SUCH CLAIM OR ACTION AROSE. IF YOU ARE DISSATISFIED WITH THE PROGRAM, UNENROLLING FROM THE PROGRAM IS YOUR SOLE REMEDY. WE HAVE NO OTHER OBLIGATION, LIABILITY, OR RESPONSIBILITY TO YOU.
- THIS SECTION WILL SURVIVE ANY TERMINATION OF YOUR ENROLLMENT OR PARTICIPATION IN THE PROGRAM.
10. INDEMNIFICATION. You agree to defend, indemnify, and hold the Ande Parties harmless for any loss, damages, or costs, including reasonable attorneys' fees, resulting from any third-party claim, action, or demand resulting from: (a) your participation in the Program in violation of any law, rule, regulation, these Program Terms, the Terms of Service, or the Restaurant Terms, or (b) your use or misuse of any Reward.
11. GOVERNING LAW. Any disputes arising out of or related to the Program or Program Terms will be handled individually without any class action, and will be governed by, construed, and enforced in accordance with the laws of the State of Delaware, without regard to its conflicts of law rules. The exclusive jurisdiction for any claim or action arising out of or relating to the Program or the Program Terms may be filed only in the state or federal courts located in the State of Delaware.
